1. About NoteitHub
NoteitHub is a productivity platform that helps users transform conversations (including AI-generated conversations) into structured outputs such as to-do lists, journal entries, reminders, calendars, notes, and related organizational tools. NoteitHub does not provide legal, medical, financial, or professional advice. You are responsible for how you use the Service and for decisions you make based on information stored or generated through the Service.
2. Eligibility
You must be at least 18 years old to use NoteitHub. By using the Service, you represent and warrant that you meet this requirement and that you have the legal capacity to enter into these Terms.
3. Account Registration
To access certain features, you may need to create an account. You agree to provide accurate and complete information, keep your login credentials secure, and be responsible for all activity under your account.
4. Acceptable Use
You agree not to use NoteitHub to:
- Violate any applicable laws or regulations
- Upload malicious code, malware, or harmful scripts
- Infringe intellectual property or privacy rights
- Harass, abuse, or harm others
- Attempt to reverse-engineer or exploit the Service
- Circumvent security or access controls
We reserve the right to suspend or terminate accounts that violate these rules.
5. User Content
You retain ownership of all content you create, upload, or generate using NoteitHub (“User Content”). By using the Service, you grant NoteitHub a limited, non-exclusive, royalty-free license to store, process, and display your User Content solely for the purpose of operating, maintaining, and improving the Service.
You are responsible for the accuracy, legality, and appropriateness of your User Content. NoteitHub is not responsible for User Content you submit or store.
6. AI-Generated Content Disclaimer
The Service may include features that generate or transform content using AI. AI outputs may be inaccurate, incomplete, or outdated. You should verify important information independently, especially for decisions that may impact your health, safety, finances, or legal rights. NoteitHub is not liable for decisions made based on AI-generated content.
7. Third-Party Services and Integrations
NoteitHub may integrate with third-party services (including, but not limited to, authentication providers, calendars, browsers, AI platforms, or productivity tools). Your use of any third-party services is governed by their terms and policies. We are not responsible for third-party services, their availability, or their actions.
8. Paid Plans, Billing, and Refunds
Some features may require a paid subscription. If you purchase a paid plan, you agree to provide accurate billing information and authorize us (or our payment processor) to charge your payment method according to the plan selected.
Unless otherwise required by law, fees are non-refundable and subscriptions renew automatically until canceled. You can cancel at any time through your account settings, and your access to paid features will remain available until the end of the current billing period.
9. Privacy
Your use of the Service is also subject to our Privacy Policy. If there is a conflict between these Terms and the Privacy Policy regarding data handling, the Privacy Policy governs.
10. Intellectual Property
NoteitHub and all related trademarks, logos, designs, and software are owned by NoteitHub or its licensors and are protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written permission.
11. Availability and Changes
We may modify, suspend, or discontinue the Service (in whole or part) at any time. We may also update these Terms periodically. Continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
12. Termination
We may suspend or terminate your account if we reasonably believe you have violated these Terms or if your use creates risk or legal exposure. You may stop using the Service at any time.
13. Disclaimers
The Service is provided on an “AS IS” and “AS AVAILABLE” basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
14. Limitation of Liability
To the maximum extent permitted by law, NoteitHub shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, use, goodwill, or other intangible losses resulting from your use of or inability to use the Service.
In no event shall NoteitHub’s total liability for all claims relating to the Service exceed the greater of (a) the amount you paid to NoteitHub in the twelve (12) months preceding the event giving rise to the claim, or (b) USD $100.
15. Indemnification
You agree to defend, indemnify, and hold harmless NoteitHub, its affiliates, and their officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your User Content, or your violation of these Terms or applicable law.
16. Governing Law
These Terms are governed by the laws of the jurisdiction where NoteitHub is established, without regard to conflict of laws principles. Where permitted, you agree that any dispute will be resolved exclusively in the courts of that jurisdiction.
